1. Acceptance of Terms

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and ScienTangle ("we," "us," or "our") governing your access to and use of our website, services, and applications (collectively, the "Services").

BY ACCESSING OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use our Services.

You represent that you are at least 18 years old or have reached the age of majority in your jurisdiction, and have the legal capacity to enter into this Agreement. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. License to Use the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use. This license does not include any right to:

  • Modify, copy, reproduce, or create derivative works from our Services or content
  • Use the Services for any commercial purpose without our prior written consent
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code of our software
  • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices
  • Frame, mirror, or otherwise incorporate any part of the Services into another website or service
  • Use automated systems (bots, scrapers) to access or collect data from the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to our systems or networks

We reserve the right to terminate or suspend your license at any time, with or without cause, and with or without notice.

3. User Accounts and Registration

To access certain features of the Services, you may be required to register for an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized use of your account
  • Be fully responsible for all activities conducted through your account
  • Not share your account credentials or allow others to access your account
  • Not create multiple accounts or impersonate others

We reserve the right to suspend or terminate your account if you provide false information, violate these Terms, or engage in fraudulent or illegal activities. You may not transfer your account to another person without our prior written consent.

4. User Content and Conduct

4.1 User-Generated Content

Our Services allow you to create, post, share, and store content including blog posts, comments, profiles, and other materials ("User Content"). You retain ownership of your User Content, but by posting content, you grant us:

  • A worldwide, non-exclusive, royalty-free, transferable, sublicensable license
  • The right to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content
  • The right to incorporate your User Content into other works in any format or medium
  • These rights for the purpose of operating, promoting, and improving our Services

4.2 Content Standards

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to post your User Content
  • Your User Content does not infringe any third-party intellectual property rights
  • Your User Content complies with all applicable laws and regulations
  • Your User Content does not contain malicious code, viruses, or harmful materials

4.3 Prohibited Content

You may not post User Content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy
  • Contains hate speech, discrimination, or promotes violence
  • Is sexually explicit, pornographic, or obscene
  • Infringes intellectual property rights or violates confidentiality
  • Contains spam, advertising, or promotional content without authorization
  • Impersonates another person or entity
  • Contains false or misleading information

We reserve the right (but have no obligation) to monitor, review, edit, or remove any User Content that violates these Terms or is otherwise objectionable. We do not endorse or assume responsibility for any User Content.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Violating any applicable local, state, national, or international law or regulation
  • Infringing intellectual property rights of others
  • Transmitting spam, chain letters, or unsolicited mass communications
  • Impersonating any person or entity or falsely representing your affiliation
  • Engaging in harassment, stalking, or intimidation of other users
  • Interfering with or disrupting the Services or servers/networks connected to the Services
  • Using automated systems (bots, scripts) to access the Services
  • Collecting or harvesting personal information from other users
  • Circumventing security features or access controls
  • Introducing viruses, malware, or other malicious code
  • Attempting to gain unauthorized access to any part of the Services
  • Encouraging or enabling violations of these Terms

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Services and all content, features, and functionality (excluding User Content) are owned byScienTangle and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. This includes but is not limited to: software code, design, graphics, logos, text, images, audio, video, and the selection and arrangement thereof.

6.2 Trademarks

ScienTangle name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ScienTangle or its affiliates. You may not use such marks without our prior written permission. Other names, logos, and brands are the property of their respective owners.

6.3 DMCA and Copyright Infringement

We respect intellectual property rights. If you believe your copyright has been infringed, please contact us with: (a) identification of the copyrighted work, (b) identification of the infringing material, (c) your contact information, (d) a statement of good faith belief, and (e) a statement of accuracy under penalty of perjury.

7. Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding accuracy, reliability, or completeness of content
  • Warranties that the Services will be uninterrupted, timely, secure, or error-free
  • Warranties regarding results obtained from use of the Services
  • Warranties regarding third-party content or services

We do not warrant that defects will be corrected, or that our servers are free of viruses or other harmful components. No advice or information obtained through the Services creates any warranty not expressly stated here.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCIENTANGLE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, use, goodwill, or other intangible losses
  • Damages resulting from unauthorized access, use, or alteration of your content
  • Damages resulting from conduct or content of third parties
  • Damages resulting from interruption or cessation of the Services

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless ScienTangle, its affiliates, and their respective officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Services, (b) your User Content, (c) your violation of these Terms, (d) your violation of any rights of another party, or (e) your violation of any applicable laws or regulations.

10. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

  • Your right to use the Services will immediately cease
  • We may delete your account and User Content
  • Provisions that by their nature should survive termination will survive

You may terminate your account at any time by contacting us. Termination does not relieve you of obligations incurred prior to termination.

11. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in whichScienTangle operates, without regard to conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through:

  • Informal Negotiation: Contact us first to resolve disputes informally
  • Binding Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration in accordance with applicable arbitration rules
  • Class Action Waiver: You agree to bring claims only in your individual capacity, not as a class action or representative proceeding

You agree to submit to the exclusive jurisdiction of courts in our jurisdiction for any disputes not subject to arbitration.

12. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and us
  • Severability: If any provision is held invalid, the remaining provisions remain in effect
  • Waiver: Failure to enforce any right doesn't waive that right
  • Assignment: You may not assign these Terms; we may assign without restriction
  • Force Majeure: We're not liable for delays caused by circumstances beyond our control
  • Third-Party Rights: These Terms do not create rights for third parties

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent website notice at least 30 days before the effective date. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.
